Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Satori Productions (“Satori,” “we,” “us,” or “our”) governing your access to and use of the satoriproductions.com website and any related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

3. Intellectual Property

All content, trademarks, logos, service marks, text, graphics, and other materials on the Services are owned by or licensed to Satori Productions and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. No other rights are granted, express or implied.

4. Acceptable Use

You agree not to:

  • Violate any applicable law, regulation, or third-party right.
  • Reproduce, distribute, modify, or create derivative works from Services content without our prior written consent.
  • Use any automated system (bots, scrapers, crawlers) to access the Services in a manner that sends more request messages than a human could reasonably produce.
  • Attempt to interfere with, compromise, or disrupt the Services or any servers or networks connected to the Services.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. User Submissions

If you submit any ideas, feedback, suggestions, materials, or other content to Satori (“Submissions”), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Submissions in connection with our business. You represent that you own or have the necessary rights to your Submissions and that they do not infringe the rights of any third party.

6. DMCA / Copyright Notices

We respect the intellectual property rights of others and expect users to do the same. If you believe content on the Services infringes your copyright, please send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at legal@satoriproductions.com including all information required by 17 U.S.C. § 512(c)(3).

7. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Satori Productions disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Satori Productions, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory. Our aggregate liability shall not exceed one hundred U.S. dollars (US $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Satori Productions and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your Submissions, or your violation of these Terms or applicable law.

10. Governing Law and Venue

These Terms are governed by the laws of the State of California, U.S.A., without regard to its conflict-of-law rules. Except where prohibited by law, any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction and venue in those courts.

11. Arbitration and Class Action Waiver

At Satori’s election, any dispute not resolved informally may be submitted to binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and Satori waive any right to bring or participate in a class, collective, or representative action. This provision does not prevent either party from seeking injunctive or equitable relief in court for intellectual property infringement.

12. Termination

We may suspend or terminate your access to the Services at any time, without notice or liability, for any reason, including if you breach these Terms. Sections that by their nature should survive termination shall survive.

13. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on this page. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
